Clearwater International advises Investcorp on the acquisition of a majority stake in SEC Newgate through a capital increase of c.€90m
Clearwater International has advised Investcorp, a leading global manager of alternative investments, on the acquisition of a majority stake in SEC Newgate Global Strategy S.p.A. (SEC Newgate), a global strategic communications and advocacy group, and portfolio company of Three Hills Capital Partners. This transaction values SEC Newgate over €225m and will be carried out through a c.€90m capital increase. Three Hills Capital Partners and SEC Newgate’s other shareholders will roll over c.100% of their equity investment as part of this transaction.
Investcorp is a global manager of alternative investments with six lines of businesses, including private equity, real estate, absolute return investments, infrastructure, credit management, and strategic capital, with more than €45bn of asset under management in 2023.
SEC Newgate, headquartered in Milan, Italy, is an insights and research-driven global communications and advocacy group. The company advises more than 1,500 companies and helps its clients demonstrate their purpose and value with a focus on public affairs, reputation and crisis management, research, ESG and sustainability, health sciences and wellbeing, finance and financial services, manufacturing and industry, TMT, real estate and infrastructure, and consumer. SEC Newgate’s team of 1,200 people, operate seamlessly through 50 offices, located in 22 countries around the world.
With this transaction, Investcorp will enable SEC Newgate to accelerate its development strategy, with a focus on expanding into the EMEA and APAC regions, through organic growth and M&A. Since its delisting from the London Stock Exchange in March 2022 and entry of Three Hills Capital Partners as a minority shareholder, SEC Newgate has grown rapidly and expanded in the US and South America through acquisitions that are part of a true "transformational project".
