Clearwater International advises the minority shareholder on the valuation and sale of its stake in Upgrade to QiNet Group
Clearwater International has advised the minority shareholder on the valuation and sale of its stake in Upgrade, a business focused on designing, evolving, and implementing customers' IT structures, to QiNet Group (QiNet), active in cybersecurity design and management. This transaction results from Metrika Tech’s exercise of the call option, reinvestment, and management of the agreements, following the sale of QiNet to Impresoft Group (Impresoft), a portfolio company of Clessidra Private Equity SGR.
QiNet, created from the aggregation of QiNet SpA, Upgrade Srl, and Upgrade SA, is focused on the entire cybersecurity life-cycle, in particular on Security and Network Operations Center managed services. In 2022, the group reached a consolidated turnover of €18m.
Impresoft represents the union of innovative and complementary companies, 4wardPRO, Formula Impresoft, NextTech, NextCRM, OpenSymbol, and Qualitas Informatica. The group offers solutions and technologies to companies operating in different market segments in the areas of ERP, MES, CRM, Sales Automation, CPM/B.I., datacentre, application modernisation, artificial intelligence, business process digitisation, managed services, and modern workplaces.
With this transaction, QiNet can fulfil its potential through the expansion of its customer base, while Impresoft will increase the effectiveness of its projects and solutions offered, due to the use of modern proprietary systems for in-depth, proactive monitoring, and asset management, according to the best market standards.
The deal is expected to complete by September 2023.
