Clearwater International advises Unilabs Group on the sale of 100% of the share capital of the holding Unilabs Italia S.r.l. to Lifebrain
Clearwater International has advised Unilabs Group, one of the largest European providers of diagnostic services, laboratory analysis, imaging and pathology diagnostics, controlled by Apax, on the sale of 100% of the share capital of Unilabs Italia S.r.l. (Unilabs Italia) to Lifebrain, a leading group in laboratory analysis and diagnostics services, controlled by Investindustrial.
Unilabs Group entered the Italian market in 1989, thanks to the acquisition of Medil S.r.l., a company that manages an established outpatient private clinic based in Turin, with an own lab specialised in pathological anatomy.Subsequently, in 2012, Unilabs Group acquired Raffaello S.r.l., a company that provides a wide range of medical analysis, with a related multi-specialist outpatient clinic, through two medical centres located in the city of Turin and one medical centre located in the city of Alba.
Lifebrain, a Viennese group founded in 2013 by Prof. Michael Havel and controlled by Investindustrial is the largest group of analysis laboratories in Italy with more than 320 centres and more than 6 million patients a year.
While Unilabs Italia is doing very well in terms of performance, it does not have sufficient scale or geographical footprint within Italy and thus does not meet Unilabs Group strategic goal of being among the top players in any given market.
The transaction allows Lifebrain to consolidate and strengthen its widespread presence in Piedmont and to continue a path of growth and consolidation that has led it to be present in 17 regions with over 320 centres.
