Clearwater International advises ABN AMRO Verzekeringen on the acquisition of Delta Lloyd by Nationale Nederlanden Group

Clearwater International has advised the Dutch bank, ABN AMRO Verzekeringen (AAV), on the acquisition of Delta Lloyd, a Dutch insurance company and 51% shareholder in AAV, by Dutch financial service provider, Nationale Nederlanden Group (NN Group).

The remaining shares in AAV are held by ABN AMRO. Clearwater supported the management of AAV in presenting the company and the equity story to the new shareholders.

AAV is a joint venture between Delta Lloyd and ABN AMRO, focusing on the provision of insurance products to ABN AMRO bank clients. AAV serves retail customers with life and non-life insurance, while also acting as an insurer, adviser, and intermediary, for third-party non-life insurance for SME and corporate clients. In 2016, the company had a gross written premium of over €500m and 513 employees.

ABN AMRO is listed on the Dutch stock exchange and in 2016, realised a turnover of €8.2bn and employed approximately 21,500 staff.

Delta Lloyd is active in the Netherlands, Belgium, and Germany. In 2016, the company had a gross written premium of over €3.7bn and 736 employees. With the shareholding in AAV, Delta Lloyd has the exclusive right to serve ABN AMRO clients.

NN Group is active in 18 countries and listed on the Dutch stock exchange. In 2016, the company had a gross written premium of over €9.4bn and employed approximately 11,500 staff. Following the acquisition of Delta Lloyd, NN Group is among the top four insurance providers in the Netherlands.
